TERMS AND CONDITIONS FOR GIVEAWAYS, COMPETITIONS, PRICE DRAWS, AND PROMOTIONS

PLEASE READ THE PROVISIONS OF THESE TERMS AND CONDITIONS CAREFULLY PRIOR TO PARTICIPATION IN ANY GIVEAWAY, COMPETITION, PRICE DRAWS, OR PROMOTIONS CONDUCTED BY ROQQU ("ACTIVITY(TIES)"). NO PURCHASE IS NECESSARY TO PARTICIPATE IN THE ACTIVITIES. THE ACTIVITIES ARE OPEN ONLY TO INDIVIDUALS AGED 18 OR OLDER WHO ARE LEGAL RESIDENTS OF THE COUNTRIES AND STATES IN WHICH THE ACTIVITIES ARE TAKING PLACE.

BY SUBMITTING AN ENTRY/ PARTICIPATING IN ANY OF THE ACTIVITIES, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND THE DECISIONS OF THE RELEVANT ROQQU ENTITY ("ROQQU").

By submitting an Entry, you: (i) agree to be bound by these Terms and Conditions and by the interpretation of these Terms and Conditions by Roqqu and by the decisions of Roqqu, which are final and binding in all respects; (ii) acknowledge compliance with these Terms and Conditions; and (iii) agree to comply with any and all applicable federal, state, and local laws, rules, and regulations. Winning is contingent upon fulfilling all requirements set forth in these Terms and Conditions.

1. ELIGIBILITY

1.1 Unless otherwise specified, Activities are open only to people who:

1. are residents in countries and states where the Activities are taking place, as determined by Roqqu in its sole and absolute discretion;
2. are eighteen (18) years of age or older at the date of registration and participation in the Activities; and
3. meet all other Entry requirements specified in the announcements, promotional materials, or other communications made available in respect of the Activities (the "Rules'').

1.2 The following individuals are not eligible to participate in the Activities:

1. Individuals and organisations owing Roqqu ("Debtors"). Debtors are not eligible to take part in or submit Entries for any activity;
2. current or former (within the immediately preceding 12 months) employees, officers, representatives, directors, and contractors of Roqqu;
3. The immediate family members of Roqqu employees, officers, representatives,directors, and contractors (i.e., parent, spouse, siblings, children, grandparents, stepparents, stepchildren, and their respective spouses, and those living in the same household, whether or not related); and
4. Individuals and entities involved in the administration of the Activities, and any member of their immediate family (i.e., a parent, sibling, child, or grandchild) or household of any of the foregoing individuals.

2. ACTIVITY PERIOD

The period for the Activities will begin and end at the times specified by Roqqu on its relevant verified social media posts and emails (collectively referred to as the "Information Board") (the "Period"). Entry methods for the Activities will be specified in the Rules, and all Entries must be received during the Period. Entries for the Activities will only be accepted during the Period.

3. ENTRIES

3.1 You must follow the instructions and Rules provided via the Information Board to register for Activities (the "Entry"). you warrant and represent that:

1. your Entry is original and does not infringe the intellectual property rights of any third party.
2. you own or have the necessary licences, rights, consents, and permissions to publish and exploit the Entry;
3. the Entry does not feature trademarks, logos, or brand names other than Roqqu's, and
4. the Entry is not made for any improper purpose, such as to intimidate or harass any individual or to ridicule, disparage, or embarrass Roqqu.

3.2 You are only entitled to one Entry per Activity, unless otherwise stipulated.

3.3 No Entry shall contain any language or imagery that Roqqu deems, in its sole and absolute discretion, to be inappropriate, indecent, obscene, hateful, tortious, defamatory, or that promotes discrimination on the basis of race, gender, religion, nationality, disability, sexual orientation, or age. Roqqu reserves the right, in its sole discretion, to disqualify any Entry that contains any such language or imagery or that otherwise may be in violation of any law.

3.4 You are required to provide complete, accurate, and truthful information. Entries that are incomplete, inaccurate, illegible, corrupted, false, lost, late, misdirected, deceptive, or otherwise not in compliance with these Terms and Conditions may be disqualified at Roqqu's sole and absolute discretion. Entries submitted by persons who do not meet the eligibility requirements (including all requirements with respect to age and residence) are void. The use of any scripts,computer programmes, robotic, repetitive, macro, automatic, programmed, or similar automated entry methods or agents to submit entries will void all Entries submitted by that person or that person's agents.

3.5 You hereby agree that Roqqu is not responsible for lost, late, illegible, incomplete, damaged, mutilated, misdirected, misdelivered, or delayed Entries, or for technical or human errors or failures of any kind in connection with the submission, transmission, processing, or selection of Entries or the winning Entry, including without limitation any malfunctions or failures of computer hardware, computer software, networks, or telephone equipment, or any technical problems or traffic congestion on the Internet or at any website, or late, lost, damaged, or postage due mail, or any combination thereof.

4. OWNERSHIP AND GRANT OF RIGHTS

4.1 You hereby agree that your Entry and all materials making up the Entry shall be the property of Roqqu. You hereby assign and grant to Roqqu a royalty-free, irrevocable, transferrable, sublicensable, and exclusive perpetual licence throughout the universe for use in any and all media, whether now known or hereafter devised, to use and exploit (including without limitation by reproduction, distribution, public display, adaptation, communication to the public, and/or public performance, and including for commercial purposes) the Entry, waive to the full extent permitted by law any and all claims against Roqqu related to moral rights in the Entry, and by these Terms and Conditions, consent to have the Entry used for promotional purposes by Roqqu without additional compensation.

4.2. You irrevocably consent to the use of your name, image, photograph, likeness, biographical information, Entry, statements attributed to you, and any video footage related to the prize for Roqqu's advertising, promotional, or other commercial purposes in all media now or hereafter known, worldwide, and in perpetuity without additional compensation.

5. PRIZE

The prize shall be as stated in the Rules. The prize is not transferable. Online gift card prizes shall be subject to the terms and conditions delivered with the online gift card. As a winner, you are responsible for all costs and expenses associated with a prize that are not specifically mentioned, including, but not limited to, transportation costs, lodging, income taxes, and any other expenses that the winner may reasonably incur in receiving or using the prize. Any prize not claimed by the time requested in the Rules posted on the Information Board may not be awarded, and such prize may be forfeited and returned to Roqqu.

5.2 Each prize will be awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). If you win a prize, you may not ransfer, assign, or redeem the prize for cash. Roqqu reserves the right to substitute a prize with a gift card or other prize of equal value

5.3 When you accept a prize as a winner, you hereby grant Roqqu and its designees the irrevocable, royalty-free right to publish, disseminate, and use your name and city and state of residence without further notice, permission, or consideration, in perpetuity, throughout the world, in all media and formats now known or hereafter invented, in connection with the execution and promotion of the Activities.

5.4 In the event that, by any means, Debtors win prizes, such prizes shall be fortified and considered property of Roqqu.

6. SELECTING AND NOTIFYING PRIZE WINNER

6.1 Entries will be judged by authorised personnel, to be selected by Roqqu in its sole and absolute discretion (the "Judges").

6.2 Winners will be notified via contact details associated with the winner's Entry, and must respond within the days provided in the notification to claim the prize.

6.3 Selecting the winner(s) will be done by one of the following methods, or as more fully described in the Information Board:

1. Random drawing from among all eligible Entries received.
2. The Judges shall select winners using the following equally weighted criteria: creativity, marketability, originality, and relevance to the Activity theme. The decisions of the Judges are final and binding.

6.4 Winners may be required to prove eligibility, including, without limitation, proof of age, residence, and identity, which may include submitting a copy of a driver's licence, passport, or similar government-issued identification within the period specified by Roqqu after being notified of winning.

6.5 Winners will not be declared winners until they have completed, signed, and returned the required documentation to Roqqu. Forms must be submitted within the time frame specified by Roqqu following notification of winning. If a winner does not complete all forms necessary within the time given and/or in the event of non-compliance by a winner, such winner shall be disqualified and forfeit the prize, and all privileges that may otherwise be due to a winner shall be terminated.

6.6 Provided that winners are in compliance with the Terms and Conditions and have successfully proven eligibility, they will be officially confirmed as winners. Roqqu expressly reserves the right to delay the announcement of the winners for any reason it deems necessary.

7. SUSPENSION, CANCELLATION, AND DISQUALIFICATION

Roqqu reserves the right to cancel the Activities at any time, including during the Period, or to amend the terms of the Activities for any reason or no reason whatsoever, and is not responsible if the Activities cannot take place or if the prize cannot be awarded due to:

1. delays, interruptions, or failures due to acts of God, war, natural disasters, weather, acts or threats of terrorism, strikes, lockouts, labour disputes, work stoppages, fire, acts of government, or other events outside of the reasonable control of Roqqu.
2. virus, bug, non-authorized human intervention, fraud, or other causes beyond its control corrupt or affect the administration, security, fairness, or proper conduct of the Activities.

You hereby agree that Roqqu reserves the right, at its sole and absolute discretion, to disqualify any individual who tampers with or attempts to tamper with the Entry process or the operation of the Activities or who violates these Terms and conditions.

You hereby agree that Roqqu can, in its sole discretion, disqualify any individual found to be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person.

8. CRIMINAL ACTS

Any attempt by you or in conspiracy with others to deliberately damage or undermine the legitimate operation of the Activities is a violation of criminal and civil laws, and should such an attempt be made, Roqqu reserves the right, in addition to a criminal action, to seek damages from you and any such persons to the fullest extent of the law.

9. LIMITATION OF LIABILITY AND INDEMNITY

By submitting an Entry, you agree to and hold harmless Roqqu and its affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors (all of the foregoing, the "Sponsor Parties") from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) your participation in the Activities, possession, use, or misuse of any prize or any portion thereof; (ii) technical failures of any kind, including but not limited any loss or damage to any Entry; (iii) the malfunctioning of any computer, cable, network, hardware or software; (iv) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (v) unauthorised human intervention in any part of the entry process or the Activities; (vi) electronic or human error which may occur in the administration of the Activities or the processing of Entries; to the maximum extent allowed by law.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, IN NO EVENT WILL ROQQU OR SPONSOR PARTIES BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF REVENUES, LOST PROFITS, LOST CAPITAL, OR OVERHEAD, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WHETHER OR NOT ROQQU OR A SPONSOR PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

By participating in the Activities, you agree to indemnify, defend, and hold harmless Roqqu from any and all liability for any claims, damages, injuries or losses of any kind and to release all rights to bring any claim, action, class action, or proceeding arising out of, in connection with, or relating to, (i) participation in the Activities, (ii) without limitation, death, physical harm or property damage, arising directly or indirectly from the acceptance, possession, misuse or use of the prize, (iii) defamation, violation of publicity rights, or invasion of privacy in connection with the Activities or acceptance and use of the prize, (iv) copyright infringement, trademark infringement, or any other intellectual property-related cause of action arising from or related to the Activities, the prize, or Roqqu's advertising and marketing related to the Activities, you, other participants or the winner, (v) injury or damage to persons or property (including to any computer or mobile device systems resulting from participation in or accessing or downloading information in connection with the Activities), which may be caused, directly or indirectly, in whole or in part, from your participation in the Activities or receipt or use of any prize. You hereby assume all liability for any injury or damage caused, or claimed to be caused, by participation in the Activities, or the acceptance, receipt, or use of the prize or any prize component.

You further agree that in any cause of action, Roqqu's liability will be limited to the value of the prize, and in no event shall Roqqu be liable for attorney's fees.

10. DATA PROTECTION

You hereby agree that in the event that Activities call for the submission of personal data, the collection of personal data shall be governed in accordance with the privacy policy of the Roqqu website.

11. DISCLAIMER

Activities are in no way sponsored, endorsed, administered, or associated with Facebook, Instagram, Twitter, or any other third party social media site, and in no instance shall the social media sites or their subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors be liable for any disputes, claims, causes of action, or controversies arising out of or in connection with the Activities.

12. DISPUTE

The provisions in respect of dispute resolution procedures, governing law, binding arbitration and the forum and rules of such arbitration, class action waivers, and related matters set out in the Terms of Use on Roqqu's website and app, shall apply to these Terms and Conditions as if set out in full herein, provided that any references to "these Terms" in such provisions shall be read, for these purposes only, as references to these Terms and Conditions.
