Terms and Conditions for Bills Payment Service

These Terms and Conditions (“T&Cs”) govern access to the Bills Payment Service (“Service”) made available on the Roqqu Mobile Application (the “App”) through a third-party provider (the “Third-Party Provider”). The Service is operated solely by the Third-Party Provider and not by Roqqu Nigeria Limited (“Roqqu”, “we”, or “us”). Roqqu only provides the technological platform (via its Qash feature) through which users may access the Service. Roqqu does not itself own, operate, or assume responsibility for the Service.

By opting to use the Service, you agree that:

  • a. You have read, understood, and agreed to these T&Cs.
  • b. These T&Cs form a supplementary agreement to the Roqqu T&Cs and are expressly incorporated by reference. They apply to all matters relating to the Service, unless expressly modified herein.
  • c. In the event of any conflict between these T&Cs and the Roqqu T&Cs, these T&Cs shall prevail only in relation to matters specific to the Service, and the Roqqu T&Cs shall continue to apply to all other aspects of your relationship with Roqqu.

These T&Cs, together with the Roqqu T&Cs, constitute a binding agreement (the “Agreement”) between you (the “User”) and Roqqu.

6. Transaction Processing

We act solely as a payment facilitator between you and the relevant service providers, and while a successful payment confirms that your transaction has been processed and acknowledged by the applicable provider, it does not guarantee uninterrupted or error-free service delivery. Any transaction attempted in excess of applicable Transaction Limits may be automatically declined, delayed, or flagged for review. Where such a transaction is processed in error, Roqqu reserves the right to recover the excess amount in accordance with the Duty to Report and Recovery of Erroneous, Unauthorised, or Fraudulent Transactions Clause.

Such limits may be applied with or without prior notice, and any attempt to circumvent them may result in suspension or termination of your access to the Services.

Services may be temporarily suspended or restricted at any time for maintenance, security, or operational reasons without prior notice. In addition, service delivery is dependent on third-party providers, and we shall not be liable for any downtime, interruption, or failure arising from circumstances outside our reasonable control.

You acknowledge that all transactions conducted through the Services, including those involving your Qash Account, are subject to monitoring, review, and reporting to ensure AML/CFT/CPF compliance. Roqqu, at its sole discretion and based on reasonable suspicion, may:

  1. a. Delay, suspend, block, or refuse any transaction pending further review.

If your Qash Account is restricted or frozen, you may contact our in-app support channel for clarification, subject to legal and regulatory restrictions.

13. Duty to Report, Recovery of Erroneous, Unauthorized, or Fraudulent Transactions in Bills Payment Service

You acknowledge that your Qash Account, used for the Services (e.g., airtime, utilities, cable TV, betting), may be credited with fiat funds in error due to system glitches, operational or reconciliation errors, duplicate processing, third-party system failures, erroneous transfers, chargebacks, security breaches, or fraudulent activities (collectively, “Erroneous Credits”).

You acknowledge that you have an obligation and hereby agree to promptly notify Roqqu of Erroneous Credits into your Qash Account. You must not use, withdraw, transfer, convert or otherwise deal with Erroneous Credits like your property. Any use of Erroneous Credits which you knew or reasonably ought to have known did not belong to you may constitute a criminal offence, and Roqqu reserves the right in its sole and absolute discretion to recover Erroneous Credits, including legal action and reporting to law enforcement agents.

All Erroneous Credits, including any proceeds or derived transactions (e.g., bill payments to airtime providers, Discos, cable TV, or betting platforms), remain the property of Roqqu and/or the rightful owner and are subject to immediate recovery. You expressly authorise Roqqu, without further notice unless required by law, to:

Valuation of Recovery

  1. a. Erroneous Credits still sitting in your Qash Account shall be recovered at their original credited value at the time of the error.
  2. b. Erroneous Credits whether in the form of converted digital assets or fiat, used, converted, transferred, or applied to bill payments (e.g., airtime top-ups, electricity tokens, and betting funds) shall be recovered at the prevailing market value at the time of recovery, based on reputable sources (e.g., CBN rates for fiat and financial screeners and data aggregators, such as CoinMarketCap, for Digital Assets), as determined by Roqqu in good faith. Roqqu’s determination shall be final.

User Obligations

You agree to:

  1. a. Notify Roqqu promptly of Erroneous Credits or unusual activity in your Qash Account within 48 hours of discovery, especially if used for bill payments.
  2. b. Refrain from withdrawing, converting, or using Erroneous Credits for bill payments (e.g., airtime, utilities, cable TV subscriptions, betting top-ups) if you know or reasonably should know they were credited in error.
  3. c. Cooperate fully with Roqqu’s recovery efforts, including providing documents or authorisations to reverse bill payments or return Erroneous Credits to Roqqu or the relevant Biller.
  4. d. Acknowledge that using Erroneous Credits or fraudulent funds for bill payments through the Qash Feature constitutes misuse and may amount to money laundering or fraud, subject to applicable AML/CFT and CPF laws and regulations.

Failure to return or permit recovery of Erroneous Credits, including those used for bill payments, may result in:

  1. a. Immediate suspension or termination of your Qash Account, restricting access to the Service.
  2. b. Reversal or cancellation of bill payments funded by Erroneous Credits (e.g., airtime, electricity tokens, cable TV subscriptions, and betting funds), which may lead to service disruptions (e.g., electricity disconnection and betting account freezes).
  3. c. Referral to the applicable law enforcement or regulators for investigation of potential fraud or money laundering, without notification due to anti-tipping-off laws.
  4. d. Legal action to recover outstanding amounts, plus reasonable costs, interest, and damages as permitted by law.

Roqqu, as an intermediary for the Bills Payment Service, shall not be liable for losses or damages from Erroneous Credits caused by third-party system failures (e.g., telecoms, Discos, cable TV providers, betting platforms, or payment processors). Roqqu’s responsibility is limited to recovering Erroneous Credits, reversing fraudulent or erroneous bill payments, and restoring your Qash Account’s integrity. For service disruptions due to reversed bill payments (e.g., loss of electricity, cable TV, or betting access), you must contact the relevant Biller directly for resolution.

By using the Service via the Qash Feature, you agree to be bound by this clause and understand that compliance with recovery measures is essential for maintaining the fairness, transparency, and security of the Platform and ensuring compliance with applicable AML/CFT laws.
